1Who we are

This website is operated by HBSL, a private company limited by shares registered in India (“HBSL”, “we”, “us”). Our office address is at the foot of this document. By using this website you accept these terms.

2What these terms cover

HBSL builds marketplace and platform products and provides software and product engineering services to businesses. These terms cover this website and the enquiries made through it.

They do not by themselves create an engagement. Work is carried out under a separate written agreement or statement of work, signed by both parties, which sets out the scope, the fees, the timeline and the ownership of what is delivered. Where that agreement and these terms conflict, that agreement prevails.

HBSL also operates products of its own under separate brands and on separate websites. Those products have their own terms, which govern their use. Nothing here applies to them.

3Eligibility

You must be 18 or older and legally able to contract under Indian law. Where you make an enquiry for a business, you confirm you are authorised to do so on its behalf.

4Enquiries and proposals

An enquiry is not a contract, and neither is our reply to it. A proposal we send you is an offer open for the period stated in it; an engagement begins when both parties have signed the agreement or statement of work.

Estimates of effort and timeline given before a scope is agreed are indicative. We will tell you honestly when a request is outside what we can do well.

5Fees and payment

Fees are quoted in the proposal and fixed by the signed agreement. Work outside the agreed scope is quoted in writing and started only on your written approval.

All fees are in Indian Rupees (INR). GST is charged as applicable under law and shown separately on the invoice. Third-party costs incurred on your behalf — software licences, cloud hosting, app-store fees — are passed through at actual cost with the supporting bill, and only where you have approved them.

Invoices are payable by the date stated on them. We may suspend work on an overdue account after giving you written notice.

Online payments are handled by our PCI-DSS compliant payment partner. Your card number, CVV and UPI PIN go to them and never to us — we do not receive or store any of it.

6Your responsibilities

• —Give us accurate information, and tell us promptly when something we have been told changes.
• —Provide the access, credentials, approvals and decisions the work depends on, within the time the agreement allows.
• —Confirm you hold the rights to any content, data, code or trademarks you give us to use.
• —Do not ask us to do anything unlawful, or anything that would infringe someone else’s rights.

Where a delay is caused by information, access or a decision we are waiting on, the timeline moves by the length of that delay.

7Our undertakings

We will perform the services with reasonable skill and care, by people competent to do the work. We do not warrant that software will be free of every defect, and we do not guarantee a commercial outcome — adoption, revenue or search ranking — that depends on factors outside the work itself.

Where delivered work does not meet the agreed specification, our remedy is to correct it as set out in the Cancellation & Refund Policy.

8Confidentiality

Each party will keep the other’s non-public information confidential, use it only for the engagement, and protect it with at least the care it applies to its own. This does not cover information that is already public, that was known before disclosure, or that the law requires be disclosed.

9Prohibited use

No unlawful use of this website, no scraping, no reverse engineering, no interference with its operation, no abuse or harassment of our staff, and no impersonation.

10Intellectual property

“HBSL”, our logo, this website and its content belong to HBSL. You may not use them without written permission.

Ownership of what we build for you is set by the signed engagement agreement. Our default is that rights in the bespoke deliverables pass to you on payment in full.

That transfer does not extend to anything we already owned or developed independently — our own libraries, tools, frameworks and know-how — nor to third-party and open-source components, which stay under their own licences. Where a deliverable contains such material, you receive a perpetual, non-exclusive licence to use it as part of that deliverable.

You keep everything you give us: your content, your data, your trademarks.

11Limitation of liability

To the extent permitted by law, our aggregate liability for any claim connected to an engagement is limited to the fees you paid us under that engagement in the twelve months before the claim arose. We are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data.

Nothing in these terms limits liability that cannot be limited under Indian law, including liability for fraud.

12Indemnity

You agree to indemnify HBSL against claims arising from your breach of these terms, from your unlawful conduct, or from material you supplied to us infringing someone else’s rights.

13Suspension and termination

We may restrict access to this website where it is being misused. Ending an engagement is governed by the signed agreement and by the Cancellation & Refund Policy.

14Changes

We may amend these terms and will post the revised version here with a new effective date. Continued use means acceptance. Changes here do not alter an engagement agreement already signed.

15Governing law

These terms are governed by Indian law. Courts at Bokaro, Jharkhand have exclusive jurisdiction.
